Are consulting fees tax deductible? What businesses need to know

If your business has paid for consultancy services, you may be wondering whether those fees can be offset against your tax bill. The short answer is yes, in most cases. The longer answer depends on how the fees were incurred and what the consultancy was for.

This guide explains the rules clearly so you know exactly where you stand.

At APH, we have been advising businesses across the UK on allowable expenses and tax planning since 2010. If you have questions about your specific situation, book a free consultation call here.

The basic rule: wholly and exclusively for business

For any expense to be tax deductible in the UK, HMRC requires it to be incurred wholly and exclusively for the purposes of your business. This is the fundamental test that applies to consulting fees as much as any other expense.

In practice, this means the consultancy work must have been carried out for a genuine business purpose, not for personal reasons or for something unconnected to your trade.

If the consulting fees were incurred for a clear business reason, such as strategic advice, financial planning, HR support, IT consultancy, or marketing, they will almost certainly qualify as a deductible expense.

What types of consulting fees are tax-deductible?

Most types of professional and consultancy fees incurred for business purposes are deductible. Common examples include:

  • Management consultancy fees for strategic business advice
  • IT consultancy for systems, software, or technical projects
  • HR consultancy for recruitment, employment advice, or organisational development
  • Financial consultancy for business planning, cash flow, or restructuring
  • Marketing consultancy for brand strategy, digital marketing, or communications
  • Legal fees for business contracts, employment matters, or commercial advice
  • Accountancy and tax advisory fees

The nature of the work matters more than the label. If the service was genuinely for your business, the fee is almost certainly deductible.

Are consulting fees deductible for sole traders?

Yes. As a sole trader, consulting fees incurred wholly and exclusively for your business are deductible against your taxable profits through self-assessment.

You deduct allowable business expenses from your total income to arrive at your taxable profit. Consulting fees that meet the wholly and exclusively test sit alongside other allowable expenses such as travel, equipment, and professional subscriptions.

Keep records of all consulting fees paid, including invoices and details of the work carried out, in case HMRC ever requests evidence to support your claim.

Are consulting fees deductible for limited companies?

Yes. For limited companies, consulting fees incurred for business purposes are deductible against the company’s taxable profits before corporation tax is calculated.

This means that for a company paying the small profits rate of 19% corporation tax, every £100 of deductible consulting fees effectively costs the company only £81 after tax relief.

At the main rate of 25%, the effective cost of a £100 consulting fee falls to £75. The tax relief makes genuine business consultancy considerably more affordable than the headline fee suggests.

When consulting fees may not be deductible

While most business consulting fees are deductible, there are circumstances where HMRC may challenge a claim:

Personal element
If the consultancy had a significant personal element alongside the business purpose, only the business proportion may be deductible. HMRC takes the wholly and exclusively test seriously.

Capital expenditure
If the consulting fees relate to a capital project rather than ongoing business operations, they may be treated as capital expenditure rather than a revenue expense. This affects when and how the relief is claimed.

Pre-trading expenses
Consulting fees incurred before a business starts trading are treated differently. In some cases they can still be claimed, but the rules are more complex and worth confirming with your accountant.

Associated party transactions
If consulting fees are paid to a connected person, such as a family member or related company, HMRC may scrutinise whether the amount paid reflects a genuine commercial rate for the services provided.

VAT on consulting fees

If your business is VAT registered and you have paid consulting fees that include VAT, you can generally reclaim the input VAT on your VAT return, provided the consultancy was for a taxable business purpose.

This is a separate benefit from the corporation tax or income tax deduction and can further reduce the effective cost of consulting fees for VAT-registered businesses.

If you are not VAT registered, the VAT charged on consulting fees is simply part of the cost you pay and cannot be separately reclaimed.

Keeping records

To support a claim for deductible consulting fees, you should keep:

  • The original invoice from the consultant or consultancy firm
  • Evidence of payment
  • A brief note of what the consultancy was for and how it related to your business

HMRC can request records going back up to six years, so keeping organised records of all business expenses including consulting fees is important.

Good accounting software makes this straightforward, with the ability to attach invoices directly to expense records.

Getting the most from your business expenses

Consulting fees are just one category of allowable business expense. Most businesses have a wider range of deductible costs than they realise, and consistently capturing all legitimate expenses throughout the year makes a meaningful difference to the overall tax bill.

At APH, we work with businesses of all sizes to make sure their expenses are fully captured and their tax position is as efficient as possible.

Frequently asked questions

Are management consultancy fees tax-deductible?
Yes, in most cases. Management consultancy fees incurred wholly and exclusively for business purposes are deductible against taxable profits for both sole traders and limited companies. The key test is that the consultancy must have been for a genuine business purpose rather than personal reasons.

Can I claim consulting fees as an expense on my self-assessment?
Yes. As a sole trader, consulting fees that meet the wholly and exclusively test are deductible business expenses that you include on your self-assessment return to reduce your taxable profit.

What records do I need to keep for consulting fee claims?
You should keep the original invoice, evidence of payment, and a note of what the consultancy was for and how it related to your business. HMRC can request records going back up to six years.

Are consulting fees subject to VAT?
Most UK-based consultancy services are subject to VAT at the standard rate of 20%. If your consultant is VAT registered, they will charge VAT on top of their fees. If your business is VAT registered, you can generally reclaim this input VAT on your VAT return.

What if I paid a consultant before my business started trading?
Pre-trading expenses can sometimes be claimed, but the rules are more complex than for standard business expenses. It is worth discussing your specific situation with an accountant before making a claim.

Are overseas consulting fees deductible?
Generally yes, provided the consultancy was for a genuine UK business purpose. However, overseas transactions can introduce additional complexity around VAT and transfer pricing rules, particularly for larger businesses or related party transactions. Specialist advice is recommended.
